Services: Client agrees to retain Simple Search Solution to provide the research services set forth on Exhibit “A” below (the “Services” or “Research”), and Simple Search Solution agrees to provide the Services to Client, on and subject to the terms and conditions in this agreement.

Term and Termination: This Agreement operates on a “fee for service” basis and may be terminated by the Client at will or by Simple Search Solution at will. However, paragraphs 5 and 6 shall continue to be in effect for a period of five (5) years from the date of the last order placed.

Payment: All invoices must be settled promptly within 30 days of the invoice date. A monthly service charge of 1.5% simple interest will be applied to any unpaid principal balance overdue as of the stipulated payment date. The Client is responsible for reimbursing any expenses incurred in the process of collecting a past due balance.

Warranties and Representations: Simple Search Solution asserts that all services provided under this Agreement will be conducted in a professional and competent manner. The Client affirms that all information supplied to Simple Search Solution is complete and accurate in all material aspects.Please Note: The research provided under this Agreement does not constitute a title search. Clients are advised not to rely solely on this research and should seek the counsel of an attorney or authorized title agent for title examination.

Confidential Information: The Client is obligated not to disclose or use for their own benefit, or the benefit of any third party, any confidential information, trade secrets, or proprietary information concerning the operations, clientele, methodologies, financials, employees, services, or marketing strategies of Simple Search Solution.

Non-Solicitation: The Client agrees to refrain from soliciting Simple Search Solution’s employees for employment, both during the term of this Agreement and for a one (1) year period following its termination, without obtaining written consent from Simple Search Solution.

Force Majeure: Neither Simple Search Solution nor the Client shall be held liable for any loss or delay in performance resulting from circumstances beyond their control, provided such circumstances were not due to their negligence.

Arbitration: In the event of a dispute arising from this Agreement, both Simple Search Solution and the Client agree to resolve the issue through binding arbitration, conducted in accordance with the Florida Arbitration Code, Chapter 682, Florida Statutes.
